五．工商登记文件

1. 正副董事长签署的中外合资企业登记注册申请书一式三份
Application forms to be signed by the chairman of the JV companies for the JV registration (in three sets)

2. 公司章程及审批机关的批准文件及批准证书副本
Articles of association of the JV companies, approval documents of the departments concerned and the duplicate of the approval for the JV establishment

3. 项目建议书，可行性研究报告及批准文件
Project proposal, its feasibility study report and their approvals

4. 投资者所在国颁发的营业执照（中方要加盖工商局章）
Business license or certificate of incorporation of the investors with their stamps on

5. 银行资信证明
Bank credibility letters

6. 企业董事会名单及董事会成员、正副董事长的委派文件和上述人员的身份证明
Name list of the board members of the JV companies, the appointment letters of the board members and chairman and vice-chairman of the board and their ID cards or passports

Documents Required & Registration Procedures of JV

Documents Required for Joint Venture Registration:

01 Project Proposal and Application Form for Project-Establishment
02 2 copies of the IDs of the Chinese and foreign investors
03 2 copies of the investors’ legal Certificates of Business (Business License)
04 The Credit Certificate given by the bank where an investor has opened an account
05 Contract and appendix
06 Constitution of the company and the appendix
07 Name list of the directors of the board
08 List of equipments and accessories need to be imported
09 Other documents are subject to the requirement of the government

Registration Procedures:
Foreign companies are not allowed to directly submit the application documents to the relevant authority. They must retain a PRC entity that is authorized or permitted by relevant authorities to act as an agent. The agent will submit all the documents to the examination and approval authority on behalf of the foreign enterprise. Procedures to set up the Joint Venture (”JV”) in Shanghai are as following:

01 Company Name Registration (about 3 days)
02 Apply for Approval Certificate (about 15 days)
03 Apply for Business License (about 15 days)
04 Apply for Enterprise Code Certificate (about 1 day)
05 Apply for Statistic license (about 1 day)
06 Register in Shanghai Tax Bureau (about 1 month)
07 Open a RMB bank account (about 5 days)
08 Register Foreign Currency Certificate (about 1 day)
09 Check the registered capital (about 5 days)

Introduction of Joint Venture (JV)

A Joint Venture is a business arrangement in which the participants create a new business entity or official contractual relationship and share investment and operation expenses, management responsibilities, and profits and losses.

The Chinese authorities encourage foreign investors to use this form of company in order to obtain exposure to advanced technology and new management skills. In return, foreign investors can enjoy low labour costs, low production costs and a potentially large Chinese market share.
