Required documents for application for Approval and the Registration of a (wfoe) Wholly-Owned Foreign-Funded Enterprise in BEIJING are as followed, for your reference:
1.Name Pre-registration Notice
2.Authorized Letter
3.Application Form for Registration of Foreign-funded Enterprise (2 original)
4.Application Form for Approval of Foreign-funded Enterprise by Beijing
5.Project Proposal
(signed by the legal representative or his/her agent holding the letter of authorization)
6.Articles of Association
(signed by the legal representative or his/her agent holding the letter of authorization)
7.Name List of Board of Directors
8.Appointment Certificate of Board of Directors (with the photocopies of the directors’ valid and legal passports or identification documents attached)
Company without Board of Directors: Appointment Certificate of Legal Representative of the company (with the photocopies of the directors’ valid and legal passports or identification documents attached)
9.Certifying Document of Registration (a photocopy) in the country or region where the investor incorporated and a certification letter of the legal representative with valid ID (a photocopy) attached;
a valid and legal ID document (a photocopy) of the investor who is an overseas citizen or individual, a certification of Taibao is needed for the investor from Taiwan.
10.Credit Certificate issued by the Bank of the Investors (original)
11.Approval of Environmental Protection Authority
12.Certifying Document of the availability of a building or a site of the Company
13.Other document/certification of business permit if needed before approval for Business License
Note:
All shall be filled with black or blue pen, or printed.
All shall be duplicated, including one original on A4 paper, of which those in foreign languages shall be attached with their Chinese translations.
